It achieves this by agreeing the strategy and overseeing its delivery in a sustainable manner, establishing the values and culture of the organisation, ensuring risk management systems are robust and monitoring financial and operational performance.
The Board of Directors’ balanced qualitative and quantitative composition is essential for it to have proper representation to perform its duties with a unity of purpose and independent judgement so that it can operate effectively. This includes ensuring that, in its composition, there is an appropriate number of independent directors.
